Acceptance of these terms

By accessing or using the CivicRails website or related services, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, do not use CivicRails.

Who we are

CivicRails is operated by BrainByte, LLC. In these terms, “CivicRails,” “we,” “us,” and “our” refer to BrainByte, LLC and the CivicRails website and related services.

CivicRails is a project coordination platform centered on a living Project Record. It helps teams keep project information, evidence, assumptions, potential blockers, responsible parties, next steps, and review activity connected across complex project workflows, beginning with housing.

Scope of these terms

These terms apply to your use of:

  • the CivicRails public website
  • contact and information request forms
  • discovery, design-partner, evaluation, and pilot activities
  • authorized account access, where applicable
  • authorized use of CivicRails services, where applicable
  • content intentionally made available through CivicRails

Additional agreements, including pilot, evaluation, confidentiality, organization-specific, or other written agreements, may apply to certain uses of CivicRails.

If those additional terms conflict with these Terms of Use, the more specific written agreement will generally control for that use.

Permitted and prohibited conduct

You agree not to:

  • use CivicRails for unlawful, fraudulent, abusive, or misleading purposes
  • attempt to gain unauthorized access to accounts, systems, or data
  • interfere with the operation, integrity, or security of the website or related services
  • upload malicious code, harmful files, or disruptive content
  • use automated means to access, copy, extract, or misuse CivicRails content or services in an unauthorized manner
  • misrepresent your identity, affiliation, or authority
  • submit content that violates privacy, intellectual property, confidentiality, or other legal rights
  • use CivicRails in a way that could damage, disable, overburden, or impair the service

User content and submissions

You may be able to submit content to CivicRails, including inquiries, project information, evidence, files, records, notes, messages, or other materials.

You retain ownership of content you submit, but you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, display, and transmit that content as reasonably necessary to operate CivicRails, provide related services, maintain security, support authorized project workflows, review and manage inquiries, and fulfill contractual or legal obligations.

You represent that you have the necessary rights, authority, and permissions to submit the content you provide and that your content does not violate any law, confidentiality obligation, or the rights of any third party.

Advisory coordination and human review

CivicRails is designed to support project coordination and maintain an accountable living Project Record across complex project workflows.

CivicRails does not approve projects, certify compliance or evidence, determine eligibility, determine feasibility, determine code compliance, issue permits, or make professional or governmental determinations.

Project-status information, summaries, draft findings, potential blockers, suggested next steps, and similar information presented through CivicRails are intended to support coordination and human review. They should not be treated as independent professional, regulatory, legal, financial, or technical determinations.

Authorized users, qualified professionals, project teams, agencies, and other responsible parties remain responsible for reviewing material project information, making consequential decisions, exercising professional judgment, and determining what actions are appropriate for a project.

AI-assisted features

CivicRails may use artificial intelligence or other automated tools to assist with organizing submitted information, generating draft summaries or findings, identifying possible gaps, classifying information, preparing proposed updates, or suggesting possible next steps.

AI-assisted output may be incomplete, inaccurate, or inappropriate for a particular project and must not be treated as an independent professional, regulatory, legal, financial, technical, or compliance determination.

Where AI-assisted output may affect material project truth or consequential decisions, required authorized human review must occur before that information is accepted as part of the accountable Project Record or relied upon for the applicable decision.

AI supports. People decide.

No replacement for professional or government services

CivicRails does not replace permitting systems, geographic information systems, construction management platforms, architecture or engineering services, planning services, lending or underwriting, legal advice, contracting services, municipal review, or other professional or governmental functions.

Users remain responsible for obtaining appropriate professional, technical, financial, legal, regulatory, and governmental review where required.

Intellectual property

CivicRails, including the website, related services, software, interfaces, workflow designs, branding, text, graphics, logos, documentation, website materials, and related content, is owned by BrainByte, LLC or its licensors and is protected by applicable intellectual property and related laws.

Except as expressly permitted in writing, you may not copy, modify, distribute, reproduce, republish, reverse engineer, decompile, disassemble, create derivative works from, or use CivicRails or its content in an unauthorized manner.

“CivicRails” and related names, branding, logos, and marks are the property of BrainByte, LLC. No rights are granted except as expressly stated in these terms or a separate written agreement.

Authorized access, demonstrations, and evaluation

Access to certain CivicRails materials, demonstrations, product interfaces, pilot environments, or service features may be limited to authorized users, organizations, design partners, or evaluation discussions.

CivicRails materials, demonstrations, screenshots, workflows, and other non-public product information may not be copied, recorded, redistributed, published, reverse engineered, or used outside the scope of the authorized relationship or discussion without written permission.

Access provided for evaluation, pilot, demonstration, or testing purposes does not grant ownership rights in CivicRails or its underlying product, workflows, software, designs, or implementation.

Pilot and evaluation use

Use of CivicRails for an actual project, pilot, evaluation, or workflow involving real project information may require a separate written agreement.

That agreement may address scope, authorized users, confidentiality, permitted data, responsibilities, security, fees, evaluation criteria, intellectual property, termination, and other terms specific to the engagement.

Participation in a discovery conversation or demonstration alone does not create a pilot, customer relationship, partnership, or obligation to provide continued access.

Contact forms and inquiry handling

If you submit an inquiry, information request, or other contact form through CivicRails, you agree that we may receive, store, review, and use that submission for follow-up, recordkeeping, spam prevention, and relationship management purposes.

Submission of an inquiry does not create a partnership, customer relationship, consulting relationship, agency relationship, fiduciary duty, or obligation to provide access to CivicRails services.

Coordination Cost Calculator

The CivicRails Coordination Cost Calculator provides informational estimates based on assumptions and values entered by the user. Calculator results represent an estimated current coordination burden and do not represent actual losses, verified costs, projected CivicRails savings, guaranteed savings, return on investment, project acceleration, or avoided delay.

Users are responsible for evaluating the assumptions and information they enter and for determining whether any estimate is appropriate for their particular circumstances.

CivicRails does not guarantee that use of CivicRails will reduce the estimated amount or produce any particular financial, operational, schedule, project, or business result.

Content visibility

CivicRails may support different visibility levels for project information. Content may remain internal to authorized users or may be intentionally made available more broadly when an authorized organization or user chooses to do so.

Users and organizations are responsible for reviewing the information they choose to make available and confirming that they have authority to share it.

We are not responsible for how third parties use information that has been intentionally made available by an authorized organization or user.

Third-party services

CivicRails may link to, integrate with, or rely on third-party services, including hosting, infrastructure, storage, email, analytics, security, verification, and related operational providers.

We are not responsible for third-party websites, services, platforms, or policies that we do not control.

Disclaimers

CivicRails is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.

We do not guarantee that CivicRails, any project-status information, AI-assisted output, Project Record, recommendation, or other information will be complete, accurate, current, suitable for a particular purpose, or sufficient to satisfy any professional, regulatory, contractual, or organizational requirement.

We do not guarantee that CivicRails will meet every requirement of your organization, legal obligation, operational need, or business objective unless expressly agreed in writing.

Limitation of liability

To the fullest extent permitted by law, BrainByte, LLC and its officers, members, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunity arising out of or related to your use of CivicRails.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to CivicRails will not exceed the greater of: (a) the amount you paid us, if any, for the specific service giving rise to the claim in the twelve months before the claim arose, or (b) one hundred U.S. dollars (US $100).

Changes to these terms

We may update these Terms of Use from time to time. When we do, we will post the updated version on this page and revise the effective date above. Your continued use of CivicRails after changes become effective means the updated terms will apply going forward.
